Google to Acquire Motorola Mobility for $ 40 a share

Google to Acquire Motorola Mobility


Combination will Supercharge Android, Enhance Competition, and Offer Wonderful User Experiences







 (BUSINESS WIRE) -- Google Inc. /quotes/zigman/93888/quotes/nls/goog GOOG -3.32% and Motorola Mobility Holdings, Inc. /quotes/zigman/3019788/quotes/nls/mmi MMI +60.32% today announced that they have entered into a definitive agreement under which Google will acquire Motorola Mobility for $40.00 per share in cash, or a total of about $12.5 billion, a premium of 63% to the closing price of Motorola Mobility shares on Friday, August 12, 2011. The transaction was unanimously approved by the boards of directors of both companies.
The acquisition of Motorola Mobility, a dedicated Android partner, will enable Google to supercharge the Android ecosystem and will enhance competition in mobile computing. Motorola Mobility will remain a licensee of Android and Android will remain open. Google will run Motorola Mobility as a separate business.

Apple or Google stock to buy ?

Apple (AAPL) says it has funded a study that proves its new iAd format, which shows advertising on iPhones and iPods, is much more effective than traditional television commercials.




The company, along with Campbell Soup (CPB), hired the Nielsen firm to spend five weeks comparing Campbell's iAds and television ads, reports AdAge. The bottom line: People were twice as likely to recall a Campbell's iAd than a Campbell's TV ad.



Even better: The people surveyed were more likely to remember the "Campbell's" brand and the messaging in the advertising. They were much more likely to buy Campbell's after seeing the iAd than those who simply saw the TV ad.



Apple is hoping to use the study as ammunition to persuade marketers to go with the iAd format instead of more traditional advertising venues. But what Apple wants in return is a lot: A commitment of as much as $1 million in media spending from a marketer.

: Google (GOOG), which says its mobile ad network AdMob is getting more than 2 billion ad requests a day. That's a fourfold increase from a year ago, RCR Wireless News reports. Google says that a recent AdMob campaign involving Volvo led to a 240% increase in brand favorability and an 88% rise in purchase intent.




The big question in the industry -- and one immediately raised in comments in the AdAge story -- is whether people remember the ads mostly because they're on a cool smartphone. Is the iAd format really that effective, or are people just not used to seeing interactive ads on an iPhone?



There's no doubt that iAds, like other online advertising, are more interactive than television spots. People who saw the Campbell's iAd could click deeper into the Campbell's experience and see recipes, coupons and other links.



Apple went to all this trouble to get a respectable survey in hand because there are big bucks at stake here. In October and November alone, Campbell's spent $25 million on soup-related advertising in network and cable television, AdAge reported.

Jim Cramer Mad Money Stock Highlights

Cramer said that he thinks McDonald's (MCD) is worth buying now because it already had a pullback on weak same store sales, and they report their quarter on Monday morning and that he is still bearish on Johnson & Johnson (JNJ).

Cramer said that he isn't sure if the stock of this company is broken, or if the company itself is broken, because it has dropped 11% after he recommended it in March, so he had the CEO on the show to find out how the company is doing. After talking to the CEO and hearing about the improvements that the bank has made, Cramer said that he is still bullish, though he was wrong to recommend it last year.

Cramer thinks that a global energy shortage is going to be one of the key themes of 2011, and he wants to make money off of the issue by investing in companies that have strong production growth and keep their costs under control, like DVN. heard from multiple sources inside of Google, and the two companies are close to a deal that will bring Digg under the Google News property. The acquisition price is in the $200 million range, says one source.




We first wrote about the Google-Digg negotiations in March. Despite a vigorous denial by Digg CEO Jay Adelson the negotiations continued, although Google’s Marissa Mayer reportedly cooled on the company for a period of time.



The companies are now in final negotiations according to our sources, although it could be a couple of weeks before it closes. And while the major deal points have been agreed on, the acquisition could still fall apart. Microsoft, which was previously interested in the company, may be willing to step back in at a much lower price.



Most of Digg’s revenue comes from a three year ad deal with Microsoft, which will be terminated on a sale to Google. Digg has raised $11.3 million in venture capital.

Thanks in part to Android, which just passed Apple's iOS as the world's fastest-growing mobile platform, Google (GOOG, news, msgs) is again capturing media buzz while persuading investors that it's still a growth engine.



Some analysts have fretted that Google is undergoing an inevitable metamorphosis, becoming a mature, slower-growth tech bellwether. But the Mountain View, Calif., company allayed those concerns last month with blowout third-quarter financial results.



See what's ahead for the stock market



Google appears on a daily list created using StockScouter, an MSN Money tool that identifies stocks with strong growth prospects in the near term. All stocks with Scouter ratings of 8, 9 or 10 are considered for the list, which is then shortened to exclude any stock with a trading volume below 50,000 shares a day. The remaining stocks are ranked on the basis of market capitalization, sector membership and whether they are growth or value stocks.





How to pick stocks

Google's core business of online advertising -- which accounts for 97% of revenue -- continues to grow along with the digital economy. The number of times a consumer clicked on a Google ad increased 16% in the third quarter, and the average cost per click rose 3%, meaning companies paid more to place ads.



"We saw strength in every major product area in Q3 -- that is search, display, mobile -- as well as apps and enterprise," Patrick Pichette, Google's chief financial officer, said in a conference call with analysts Oct. 14. "And when I say our newer businesses are seeing great momentum, I really mean it."



Android vs. iPhone: Which will win?

Among those newer businesses, Android is leading the charge. New data from market research company NPD Group says Android was installed on 44% of the smart phones bought in the United States in the third quarter, up 11 percentage points from the second quarter. Apple's (AAPL, news, msgs) i0S operating system took 23% of the domestic market, up from 22% in the second quarter. Research In Motion (RIMM, news, msgs) saw its market share slip to 22% from 28%.



NPD said that two of the five top-selling smart phones in the quarter -- the Motorola Droid X, at No. 4, and the HTC EVO 4G, at No. 5 -- run on the Android open-source operating system. Apple's iPhone 4 was the top-selling smart phone in the period, followed by RIM's BlackBerry Curve 8500 and the LG Cosmos.



Google said Android software now comes loaded on more than 95 handsets, up from 60 in the second quarter. Android's growth helps lessen Google's reliance on Internet search, though the operating system is designed to mesh with Google search, thereby helping generate even more clicks on Google ads.

Google tops 600 a share , will google hit 1000 a share ?

(CNNMoney.com) -- Shares of Google rose 11% Friday, reaching $600 for the first time in more than nine months, after the company posted solid quarterly earnings that impressed investors.




Google's (GOOG, Fortune 500) stock rose as much as $59.07 to $600 a share in midday trading, before sliding back a bit. It was the stock's highest level since January.

Google defied skeptical investors and analysts who feared that the search giant would never find a a significant new revenue stream besides search advertisements. In the past, the company has been tight-lipped about the financial details of its non-search businesses, leading some analysts to speculate that those product lines were insignificant to the company's overall revenue.



But on Thursday, Google demonstrated how it is building new, multi-billion dollar businesses.

For instance, Google has made tremendous headway in mobile. Its Android operating system will command 17.7% of the global mobile device market by year's end, according to a Gartner forecast, making it the second best-selling smartphone operating system, behind Nokia's (NOK) Symbian OS and ahead of Apple's (AAPL, Fortune 500) iOS. That's stunning, considering it entered the market just two years ago.



Google said its mobile advertising business was doing sales of $1 billion on an annualized basis. Display advertising, which includes images rather than textual ads, is on pace to be a $2.5 billion business annually. The company said its display business is likely the third largest in the world, behind AOL (AOL) and Yahoo (YHOO, Fortune 500).



Investors had slammed Google's stock this year, sending it down by as much as 30%. Shares started to rebound in September, but were still down 13% before Friday's market open. But Google's impressive quarterly numbers sent shares soaring, and the stock is now down just 3% for the year.



Still, shares of Google remain far from their all-time high of $747.24, set in November 2007.

162Email Print CommentThe company's numbers are still impressive -- analysts expect revenue to increase about 15% a year for the foreseeable future -- but they're a long way off from the heady days when Google was growing at a lightning-fast 40% each year. Google (GOOG, Fortune 500)'s stock price has tumbled 15% this year amid worries that the company is on its way to becoming a big, bad blue-chip stock like IBM (IBM, Fortune 500).



Despite years of developing and acquiring a dizzying array of social, productivity, communication and media applications, Google hadn't hit on any viable sales stream beyond Web search. That's become an increasingly important problem, with Facebook breathing down Google's neck for the lead in referrals to other websites -- one of the key statistics that advertisers look to when deciding which advertising networks to join.



But Google seems to have found its second magic bullet.



It gives away its open-sourced Android -- no money there -- but that approach has put Google's software at the heart of the technology that is poised to dominate the next decade.



Google is now one of the world's biggest players in smartphones. Android will command 17.7% of the global mobile device market by year's end, according to a Gartner forecast, making it the second best-selling smartphone operating system, behind Nokia's Symbian OS. IDC released a very similar forecast, though it expects Android to come up just short of Research in Motion's BlackBerry OS this year -- but still ahead of Apple's iOS.



By 2014, both Gartner and IDC expect Google to be neck-and-neck with Nokia in smartphone OS market share. And by 2015, Android will take the lead, attracting more than half billion users, according to Informa Telecoms & Media.



That's stunning, considering Android didn't debut on its first device until late September 2008. Its first successful launch was another year off, when Verizon (VZ, Fortune 500) started selling the Motorola Droid in November 2009. Android's market share was just 3.9% in 2009, according to Gartner -- well behind Windows Mobile and "other."



Google: The search party is over

So how can such a wildly successful product be overlooked by investors?



Google doesn't make a penny licensing Android. Because Android is open-source, anyone can grab its code and use it to run mobile devices. That price point -- free! -- reeled in major manufacturers like Motorola (MOT, Fortune 500), HTC, Samsung and LG.



But Google isn't giving away a vital smartphone component out of the goodness of its heart. Its plan is to make money by driving mobile users to enter searches, both on its mobile site and through pre-installed apps that route traffic to Google. It also gets a 30% cut of Android Marketplace app purchases, and sells in-app ads for outside developers through its AdMob network.



By 2013, Android will be a $4 billion-a-year business for the company and "a blockbuster success," Caris & Co. analyst Sandeep Aggarwal forecasts. That's a nice revenue bump for a company that had sales of $24 billion last year.



But Google is dreaming even bigger: At last month's Zeitgeist conference in Arizona, Google CEO Eric Schmidt told reporters that he sees Android as a $10 billion business.



"If we have a billion people using Android, you think we can't make money from that?" he asked.

And Google isn't stopping with phones. The Android network is already connecting 200,000 new devices each day and will soon be making its way into tablets and TVs. Other connected devices -- even refrigerators -- are likely to join the ecosystem.




The company also has some tricks up its sleeve that could expand its mobile kingdom.



Three years ago Google snapped up communications technology developer GrandCentral Communications, which created a system for letting one phone number ring multiple devices. GrandCentral's software grew into Google Voice, an addictive service that centralizes voice communications and offers a bunch of enhancements, like instant voice-to-text transcription.



Google Voice's mobile service currently piggybacks on carriers' networks to enable free domestic calls and texts, and low-cost international calls. But on PCs, Google lets users place voice calls directly over the Internet. It's easy to connect the dots and envision a scenario in which Google launches its own data-only phone network, in competition with the major wireless networks.



The best indication of Android's success may the scare it's put into Google's rivals. Oracle slammed Google last month with a lawsuit claiming Android infringes on Java patents. Mark Driver, an analyst at Gartner, thinks Oracle picked that fight because "there's just tons and tons of potential money in this."



Last week, Microsoft piled on, suing Motorola for patent infringement related to its Android-powered smartphones.



And, of course, there's Apple CEO Steve Jobs, who has accused Google of falsely inflating its activation numbers.



Google's had its share of product flops this year, including the widely criticized Buzz and now-dead Wave. "Our policy is we try things," CEO Eric Schmidt said of Wave's demise. "We celebrate our failures."



We're betting they celebrate the successes more -- and with Android, it looks like Google is sitting on a gold mine.

(Dow Jones)--The euro rose against the dollar Monday as investors anticipated that stress tests of European banks would allay concerns about the region's banking sector.




The euro managed to gain in spite of a downgrade of Ireland's credit rating Monday and the breakdown in funding talks between Hungary and the International Monetary Fund over the weekend. A disappointing U.S. housing-market index also helped the common currency to gain against the dollar.



Initial results from the stress tests, due Friday, are the most important of this week's economic releases, said Jessica Hoversen, fixed-income and foreign-exchange analyst at MF Global in Chicago.



Some fears about euro-zone banks have been mitigated in recent weeks, but "the ability of the stress tests to soothe investor concerns will rely on the robustness of the tests," she said.



Monday shortly before noon, the euro was at $1.2971 from $1.2927 late Friday, according to EBS via CQG. The dollar was at Y86.67 from Y86.61, while the euro was at Y112.43 from Y111.95. The U.K. pound was at $1.5227 from $1.5298. The dollar was at CHF1.0513 from CHF1.0519.



The ICE Dollar index, which tracks the dollar against a trade-weighted basket of currencies, was at 82.452 from 82.535.

The dollar ticked down against the euro and yen after the National Association of Home Builders housing-market index fell to 14 in July, its lowest reading since April 2009, showing that U.S. housing activity continued to decline after the expiry of a home buyers' tax credit. Economists had expected a reading of 16.



Concerns over the U.S. economy have dominated currency markets recently. A string of disappointing U.S. data releases fueled fears that the U.S. recovery is faltering and sent the U.S. currency to a seven-month low against the yen and a two-month low against the euro late last week.



However, anticipation over stress tests is now dominating trading, said Simon Smollet, senior foreign-exchange options strategist at Credit Agricole CIB in London.

Hasbro (NYSE:HAS) second-quarter profit climbed to $43.6 million, or 29 cents a share, from $39.3 million, or 26 cents a share, as declining costs more than offset a 7% slide in revenue to $737.8 million. The toy maker said the fall in revenue came after last year’s initial movie product ship-ins from the Transformers and G.I. Joe movies. The company still expects EPS and revenue to rise in 2010. Analysts had expected earnings of 25 cents a share. –MarketWatch




The dollar fell the most against the euro in 14 months and dropped to the lowest level this year versus the yen as economic reports added to evidence that the U.S. recovery is losing momentum. The greenback touched a level weaker than $1.30 versus the shared currency as minutes of the Federal Reserve meeting last month indicated policy makers trimmed their forecasts for growth. The euro rallied for a third straight week against the dollar before partial results of stress tests on the region’s banking system due on July 23. “It’s really dollar weakness based on some evidence the economy is slowing,” said Vassili Serebriakov, a currency strategist at Wells Fargo (NYSE:WFC) in New York. “The economic indicators are pointing strongly toward slower growth in the second half of the year.” –Bloomberg



Google (NASDAQ:GOOG) will stop selling its Nexus One smartphone after some dismal sales figures. The company announced on July 16 that it received its final order from the phone’s manufacturer HTC, Read Write Web reported. In the time it took Apple (NASDAQ:AAPL) to sell 1,000,000 iPhones, Google racked up a mere 135,000 Nexus One sales. –Daily Finance



Delta Air Lines (NYSE:DAL) swung to a second-quarter profit, topping analysts’ expectations, on a strong rebound for a key revenue gauge. The industry expects to see profits return for the latest quarter as monthly performance numbers have taken off, though fuel costs have been climbing. Business travelers and consumers are returning to the skies amid an improved economy, following a recession that weighed heavily on airlines’ results. Delta’s report is the first from the major U.S. carriers. For the period, Delta reported earnings of $467 million, or 55 cents a share, compared with a year-earlier loss of $257 million, or 31 cents a share. The latest quarter included 10 cents in charges from items such as merger costs and aircraft retirements. Revenue rose 17% to $8.17 billion. Analysts polled by Thomson Reuters most recently expected earnings of 63 cents a share on $8.25 billion in revenue. –The Wall Street Journal




The Committee of European Banking Supervisors is testing 91 banks to see whether the banks can withstand a three-percentage-point decline in gross domestic production from European Commission forecasts for 2010 and 2011. The committee will also test for resilience to sovereign risk at a level beyond the market conditions experienced in early May.



"I think people are still optimistic," said Smollet. "Banks will need extra capital, but hopefully the capital will be a reasonable amount that the market can provide."



That optimism helped the common currency to gain, even though Moody's Investors Service downgraded Ireland's credit rating, citing a rising debt burden, the high cost of rebuilding the country's banking system and sluggish growth as factors in the decision. The agency cut the rating from Aa2 from Aa1, with a stable outlook, indicating it isn't likely to consider a further downgrade soon.



"It registered with everyone as being a reasonable rating" and was probably already priced into the euro, said Smollet.



The other big news out of Europe was the dissolution of talks between the IMF and Hungary over that country's access to the remainder of its existing EUR20 billion standby credit line.



The euro shot almost 3% higher against the forint at the start of European trading hours to reach just over HUF290, taking the forint back down to its lowest levels in more than a year after negotiators for the IMF and European Union walked away from talks because Hungary hadn't delivered on required austerity measures.



The breakdown in talks between Hungary and the multilateral bodies has implications beyond Eastern Europe, as it offers a clear sign that international aid is tied to strict conditions.
